1. Agreement to Terms

By accessing or using Veloxite ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Veloxite is a website performance monitoring, uptime tracking, and Core Web Vitals auditing platform. We provide tools to monitor the availability and performance of websites and APIs.

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Account Registration & Security

• You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
• You are responsible for maintaining the security of your account and password. Veloxite cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all content posted and activity that occurs under your account.

4. Acceptable Use

You agree not to misuse the Service. For example, you must not:

• Probe, scan, or test the vulnerability of any system or network.
• Breach or otherwise circumvent any security or authentication measures.
• Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services.
• Monitor websites or services that you do not own or do not have explicit permission to monitor.

5. Intellectual Property Rights

Our Rights: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Veloxite and its licensors.

Your Rights: You retain ownership of any data, URLs, or information ("User Content") you upload to the Service. However, you grant us a worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing the Service to you (e.g., to perform the uptime checks you requested).

6. Payment & Merchant of Record

Our order process is conducted by our online reseller & Merchant of Record, Dodo Payments. Payment processing and invoicing for your subscription are handled by them.

• Subscriptions: The Service is billed in advance on a monthly or annual basis and is non-refundable.
• No Refunds: There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
• Taxes: Prices may be exclusive of tax. Dodo Payments handles the collection and remittance of VAT, GST, or sales tax as required by law.

7. Service Level & Availability

While we strive for 100% uptime, strictly speaking, we do not guarantee it. In the event of a significant outage, we will endeavor to restore the Service as legally and technically possible.

Monitoring Accuracy: While we aim for high accuracy, false positives or false negatives can occur due to network variance. We are not liable for any damages resulting from relying on our monitoring data.

Force Majeure: We are not responsible for delays or failures in performance resulting from acts beyond our reasonable control, such as acts of God, labor disputes, internet or power failures, or government actions.

8. Indemnification

You agree to defend, indemnify, and hold harmless Veloxite and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

9. Limitation of Liability

You expressly understand and agree that Veloxite shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from:

• The use or the inability to use the Service;
• The cost of procurement of substitute goods and services;
• Unauthorized access to or alteration of your transmissions or data;
• Statements or conduct of any third party on the Service;
• Any other matter relating to the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Veloxite operates, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to, or use of, the Service shall be instituted in a state or federal court in India.

11. Changes to Terms

Veloxite reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes.
